Welcome to MeetingPrep. These Terms of Service ("Terms") govern your access to and use of the MeetingPrep website, Chrome extension, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. ACCEPTANCE OF TERMS

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. DESCRIPTION OF SERVICES

MeetingPrep provides automated meeting briefing services. Our Services include a web application, Chrome extension, and integrations with third-party services to gather context and generate briefings before your meetings.

3. ACCOUNT REGISTRATION

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. SUBSCRIPTION AND PAYMENT

Some features of our Services require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with our refund policy.

5. ACCEPTABLE USE

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use automated systems to access the Services without permission
• Reverse engineer or attempt to extract source code
• Share your account credentials with others

6. THIRD-PARTY INTEGRATIONS

Our Services integrate with third-party services (Google, Microsoft, Slack, etc.). Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices of third-party services.

7. INTELLECTUAL PROPERTY

The Services, including all content, features, and functionality, are owned by MeetingPrep and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. USER CONTENT

You retain ownership of any content you provide through our Services. By using our Services, you grant us a limited license to access and process your content solely for the purpose of providing the Services to you.

9. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEETINGPREP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11. INDEMNIFICATION

You agree to indemnify and hold harmless MeetingPrep and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. TERMINATION

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

13. CHANGES TO TERMS

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
